Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and NexusNest Technologies Private Limited (“NexusNest”, “we”, “us”, or “our”), a company incorporated under the laws of India.

By accessing or using the NexusNest platform, including the PromptWall and NetLens products (the “Service”), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

NexusNest provides AI control and governance software:

  • PromptWall: A data redaction service that intercepts outbound requests to AI tools and redacts sensitive data before it reaches the AI provider.
  • NetLens: AI usage analytics on AI tool traffic, for visibility and compliance purposes. The desktop agent routes only AI domains.
  • AI Control Panel: Manage seats for ChatGPT, Claude and Claude Code. NexusNest does not buy, upgrade or cancel vendor subscriptions.

The Service includes a desktop agent installed on employee machines, a web-based dashboard for administrators, and cloud-hosted APIs for processing.

Detection is automated and probabilistic. We do not guarantee that every item of sensitive data is detected or redacted. By default, if detection is unavailable, requests continue unredacted rather than blocked, and the event is recorded; you may configure a stricter mode.

The Service is provided “as is” and “as available”. To the extent the law permits, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One account per organization. Multiple users within an organization share a single tenant account
  • You must be at least 18 years old to create an account
  • API keys for the tenant MCP server are confidential. You are responsible for all activity performed with your keys, and NexusNest may revoke a key that appears to be compromised

4. Subscription and Payments

4.1 Billing Types

The Service is sold in three ways, as shown on our pricing page. Fees are charged in Indian Rupees (INR) or US Dollars (USD).

  • Plan subscription: A subscription billed monthly or annually, based on your selected billing cycle.
  • Trial pass: A one-time payment for a fixed access period. A pass does not renew automatically. You can extend it once by a further one-time payment.
  • Pilot: A monthly per-seat subscription that renews each month until you cancel it.

4.2 Payment Processing

All payments are processed by Razorpay Software Private Limited (“Razorpay”), a PCI DSS Level 1 compliant payment gateway regulated by the Reserve Bank of India (RBI). By making a payment, you also agree to Razorpay's Terms of Use. We do not store your full payment card details. These are handled entirely by Razorpay.

4.3 Renewal and Cancellation

  • Plan subscriptions and the pilot renew automatically at the end of each billing period until you cancel.
  • You can cancel a plan subscription or the pilot at any time through your dashboard. It stops at the end of the current billing period and you keep access until then.
  • A trial pass ends when its access period ends. It never renews on its own.

4.4 Refund Policy

  • Trial pass: Non-refundable once it is activated. This includes the one-time extension.
  • Plan subscriptions and the pilot: No refund for the current billing period, including annual plans, when you cancel.
  • We refund a payment where applicable law requires it. Refunds are processed via Razorpay and may take 5-10 business days to reflect in your account.

4.5 Taxes

INR prices are exclusive of GST (18%), which is added at checkout. USD prices are exclusive of applicable taxes. You are responsible for all taxes that apply to your use of the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Reverse engineer, decompile, or disassemble any part of the Service or the desktop agent
  • Attempt to gain unauthorized access to other tenants' data or systems
  • Use the Service to monitor employees without appropriate legal basis and employee notification as required by applicable labor laws
  • Resell, sublicense, or redistribute the Service without our written consent
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to process data that you do not have the right to process
  • Circumvent any rate limits, usage restrictions, or security measures

6. Lawful Use of AI Usage Analytics

The Service includes NetLens, which reports on AI tool usage built from redacted text and is not designed for monitoring individual personal activity. As the Customer, you are solely responsible for:

  • Informing your personnel before deploying the desktop agent and using NetLens
  • Providing appropriate notice to your personnel about the use of PromptWall and NetLens
  • Ensuring compliance with applicable labor laws, privacy laws, and workplace regulations in your jurisdiction, including the Digital Personal Data Protection Act, 2023 (DPDP Act)
  • Maintaining a lawful basis for deploying the agent and processing the resulting data (e.g., legitimate interest, consent, or contractual obligation)
  • Conducting a Data Protection Impact Assessment (DPIA) where required

NexusNest provides tools for data protection. We do not provide legal advice. We recommend consulting with legal counsel regarding your use of the Service.

7. Data Ownership and Processing

7.1 Your Data

You retain all ownership rights to your data. We process your data solely to provide the Service, as detailed in our Privacy Policy.

7.2 Roles and Data Processing Agreement

For customer content processed by the Service, such as employee prompts, files and usage data, you are the Data Fiduciary and NexusNest acts as your Data Processor. We process that data only on your instructions. For administrators' account and billing data and for visitors to our marketing site, NexusNest is the Data Fiduciary. Enterprise customers may request a separate Data Processing Agreement (DPA).

7.3 Data Isolation

Each customer's data is logically isolated within our multi-tenant architecture. We implement tenant-scoped access controls, enforced in the data layer, to ensure no cross-tenant data access.

8. Security and Compliance

We maintain the following security commitments:

  • Data encrypted in transit (TLS 1.2+) and at rest with Azure-managed AES-256, and the database is not reachable from the public internet
  • NexusNest is certified to ISO/IEC 27001:2022 and ISO 9001:2015
  • Regular security assessments and vulnerability scanning
  • Documented incident response procedures with defined notification timelines
  • We will notify the affected customer without undue delay after becoming aware of a personal data breach affecting their data, with the information required under applicable law, and will assist the customer with its own notification obligations

9. Service Level Agreement (SLA)

9.1 Uptime

We target 99.9% monthly uptime for the API and dashboard. Uptime excludes scheduled maintenance (announced at least 48 hours in advance) and force majeure events.

9.2 Support

  • Startup plan: Email support, response within 48 hours
  • Business plan: Priority email + Slack support, response within 12 hours
  • Enterprise plan: Dedicated support with 4-hour response SLA
  • Custom plan: Custom SLA as negotiated

10. Intellectual Property

  • NexusNest owns all rights to the Service, including software, algorithms, designs, and documentation
  • We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription
  • You retain all rights to your data and content processed through the Service
  • The NexusNest, PromptWall, and NetLens names and logos are our trademarks

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount paid by you in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data
  • The cap above does not apply to your payment obligations, to fraud or wilful misconduct, or where the law does not permit a cap
  • We are not liable for any data loss resulting from your failure to maintain adequate backups
  • We are not liable for any third-party actions, including AI tool providers changing their APIs or terms

12. Indemnification

You agree to indemnify and hold NexusNest harmless from any claims, losses, or damages (including legal fees) arising from:

  • Your violation of these Terms
  • Your failure to comply with applicable employee monitoring laws
  • Your failure to obtain necessary consents from data subjects
  • Your use of the Service in a manner not authorized by these Terms

13. Termination

  • You may terminate your subscription at any time through the dashboard
  • We may suspend or terminate your account for breach of these Terms, non-payment, or illegal activity
  • Upon termination, tenant content is deleted within 30 days, except data we must keep by law (such as payment records) and the audit log for its configured period
  • You may request data export before termination
  • Sections 4, 5, 6, 7, 10, 11, 12, 14, and 15 survive termination

14. Governing Law and Disputes

  • These Terms are governed by the laws of India
  • Before starting arbitration, both parties agree to attempt good-faith resolution through negotiation for at least 30 days
  • All disputes arising from or related to these Terms or the Service are finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. This applies to all customers
  • The seat of arbitration is New Delhi, India. A sole arbitrator, appointed by agreement of the parties, hears the dispute in English
  • The courts in New Delhi have jurisdiction only for interim relief and for enforcement of an award

15. General Provisions

  • Modifications: We may modify these Terms at any time. Material changes will be notified 30 days in advance. Continued use of the Service after changes constitutes acceptance.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Entire Agreement: These Terms, together with the Privacy Policy and any DPA, constitute the entire agreement between you and NexusNest.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, war, pandemic, government actions, infrastructure failures).
